Luxembourg Investment Structures in Practice: Solutions for Fund Managers and Private Capital

On Tuesday, 28 April 2026, the Luxembourg–Poland Chamber of Commerce (LPCC), in cooperation with Domański Zakrzewski Palinka law firm (DZP) and Loyens & Loeff, held a focused seminar in Warsaw dedicated to the practical use of Luxembourg investment structures for effective investment and private wealth management.

Hosted at the offices of DZP, the event brought together fund managers, legal and tax advisors, private investors, and representatives of family offices to explore how Luxembourg structures can be applied in real-life investment scenarios. The seminar combined expert presentations, a fireside chat, and networking, offering participants both technical insight and practical perspective on structuring investments across borders.

Why Luxembourg – and why now?

In his opening remarks, Piotr Parzyszek pointed out that Luxembourg’s position as a hub for investment structures has been built on many years of regulatory stability, a predictable legal environment and a well-developed ecosystem of specialised service providers. He also emphasised that, for both VC/PE fund managers and private investors or family offices, what matters most is not so much one “ideal” vehicle, but rather the ability to select a structure that is properly tailored to specific needs, the investor profile, and fundraising or succession objectives.

Designing investment structures in practice

Darina Mohamad and Agata Szymoniak focused on how Luxembourg structures are applied in practice, walking participants through different operating models for Polish sponsors, from delegation of portfolio management to advisory setups. They highlighted how each approach balances control over investment decisions with regulatory and licensing requirements, and how EU passporting enables efficient access to investors across the EEA. Their presentation also touched on structuring solutions for private investors and family offices, underlining that the right setup always depends on the investor’s objectives, scale, and long-term strategy.

Tax considerations across jurisdictions

Joanna Wierzejska then discussed Polish tax aspects for investors establishing their regulated and unregulated structures in Luxemburg.  In particular, she investigated positive impact on fund industry of further adjustment of income taxation for investment funds to EU Law. One of the interesting element discussed was impact on taxation while structure continues with location of selected operations and decisions in Poland.

Pierre-Antoine Klethi have also discussed Luxemburg alternatives suitable for Polish wealthy individuals, who investigate options for setting up either dedicated family office structures and funds.

Fireside Chat | From theory to execution: market perspective

In conversation with Maciej Zajda, Paweł Bochniarz shared Radix Ventures’ practical experience, pointing to the very high quality of cooperation with the CSSF and to the fact that investors are highly familiar with Luxembourg structures as tested and well-established solutions. From Radix Ventures’ perspective, this translated into greater predictability and a significantly smoother fundraising process, with Luxembourg remaining the natural reference point also for the structuring of future funds.

Strengthening cross-border investment dialogue

The official programme was followed by a networking session, allowing participants to continue discussions and exchange perspectives in a more informal setting.

The event reaffirmed Luxembourg’s position as a leading European hub for investment structuring and highlighted the importance of aligning legal, tax, and strategic considerations when designing structures for both institutional and private capital.
