From well-known structures like SIFs and RAIFs to the corporate vehicles such as SCSp designed for private equity and venture capital, the discussion will highlight the most relevant options for Polish market participants.

As Polish fund managers increasingly look beyond borders for strategic structuring opportunities, Luxembourg has become a jurisdiction of choice. But does setting up a fund in Luxembourg really pay off—especially for smaller players? What are the real costs, challenges, and advantages behind the polished surface?
This panel will take a deep dive into the operational journey of launching and managing a fund in Luxembourg, examining both the technical infrastructure and strategic rationale behind such decisions. We’ll explore key questions including:
- Why Luxembourg? Why would a Polish fund manager choose Luxembourg over Poland – and under what conditions?
- How does it work?A step-by-step walk-through of setting up and operating a fund, including insights from an IFM and experienced fund operators.
- Who should you work with?Choosing the right service providers is not just about cost, but about relationships, local access, and operational reliability.
- How much does it really cost—and what do you get for that?A frank look at scale thresholds and the trade-offs in cost, quality, and time.
Expect an open and honest discussion that challenges assumptions and draws on real-world experience—including why Luxembourg is booming as a fund services hub and its systemic flexibility. This session aims giving attendees a grounded sense of the Luxembourg framework.

What happens when Luxembourg structures meet Polish investor needs in real life?
This panel will explore a real-world case study based on Innova Capital’s experience with two distinct fund structures in Luxembourg—one compartmentalized, the other with dedicated SPVs under the fund. It’s a rare opportunity to go beyond theory and examine how these structures work in practice, what benefits they offer, and what lessons they reveal for fund managers and legal advisors working with Polish investors.
Expect a practical conversation with experts who will break down:
- Why specific Luxembourg structures were chosen and how they perform in practice
- What makes these solutions attractive (or complex) from a Polish perspective
- What cost and scale factors determine when a Luxembourg structure becomes economically viable
- Tax considerations and compliance risks Polish sponsors should be aware of
- Common pitfalls to avoid when setting up Luxembourg funds with Polish LPs
- Emerging trends on the Polish market and how they shape fund design (e.g. treatment of dividends, interest, and the growing focus on WHT planning)
By combining technical and strategic insight, this panel aims to provide a reality check—and a decision-making compass—for those considering cross-border structuring.
